These Terms of Service ("Terms") govern your use of Brainsoft Oy’s products and services, including the Ikuna macOS application ("Ikuna" or the "App"), our websites (including brnsft.com and associated domains), and any related services we provide (together, the "Services"). By accessing or using the Services, creating an account, or purchasing a subscription, you agree to these Terms. If you do not agree, do not use the Services.
1. Introduction
Brainsoft Oy ("Brainsoft," "we," "us," or "our") is a company registered in Finland. These Terms apply to:
- Ikuna (the "App")
- Our websites (the "Site")
- Any related services we provide now or in the future
2. Description of Services
2.1 Ikuna Application
Ikuna is a macOS application designed to help users understand productivity patterns through on device measurement, analytics, and visualizations. Ikuna is designed to keep productivity data on your device by default unless you enable sync or backup features (if available).
2.2 Site and Online Services
The Site may provide product information, documentation, support resources, downloads, purchasing flows, and account management features.
3. Eligibility and Authority
You must be able to form a legally binding contract to use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
4. Accounts
4.1 Account Creation
Some features require an account. You agree to provide accurate information and keep it updated.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.
5. License Grant
Subject to your compliance with these Terms, Brainsoft grants you a limited, non exclusive, non transferable, revocable license to:
- Download, install, and use Ikuna on macOS device(s) you own or control for personal use or internal business purposes
- Access and use the Site and related Services
All rights not expressly granted are reserved by Brainsoft.
6. User Obligations and Restrictions
You agree to:
- Use the Services in compliance with applicable laws and regulations
- Not reverse engineer, decompile, or disassemble the App, except to the extent such restriction is prohibited by law
- Not modify, adapt, or create derivative works of the Services except where explicitly permitted
- Not use the Services for unlawful, harmful, or abusive activities
- Not attempt to gain unauthorized access to any portion of the Services, systems, or networks
- Not interfere with or disrupt the integrity or performance of the Services
- Not use automated systems (bots, scrapers) to access the Site without permission
- Provide accurate information when creating accounts or making purchases
7. Privacy
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, store, and protect personal data:

If there is any conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy controls.
8. Payments, Subscriptions, and Refunds (Paddle)
8.1 Payments Provider
If you purchase a subscription or other paid features, payments are processed by our payments provider and authorized reseller, Paddle.com ("Paddle"). Paddle may act as the merchant of record for your purchase. Your purchase may be subject to Paddle’s terms and privacy practices in addition to these Terms.
8.2 Pricing, Taxes, and Billing
Prices, currency, and applicable taxes (including VAT) are shown at checkout. Paddle may collect and remit taxes where required. You are responsible for any fees charged by your bank or payment method provider.
8.3 Subscriptions, Renewals, and Cancellation
If you purchase a subscription, it renews automatically at the end of each billing cycle unless you cancel before renewal. You can cancel using the subscription management method provided at checkout or within your account area (if available). Cancellation stops future renewals and you will retain access until the end of the then current paid period, unless your access is terminated earlier under these Terms.
8.4 Trials and Promotions
If you receive a free trial or discounted promotional period, your subscription will convert to a paid plan at the end of the trial or promotion unless you cancel before it ends. Any trial or promotion details will be displayed at signup or checkout.
8.5 Refund Policy
We want you to be confident trying Ikuna. Refunds are handled as follows:
- 14 day money back guarantee for first time purchases: If you are purchasing Ikuna for the first time, you may request a refund within 14 days of your initial purchase date.
- Renewals are not refundable: Subscription renewals are generally non refundable, except where required by applicable law.
- Partial period refunds: We do not provide prorated refunds or credits for partial subscription periods, except where required by applicable law.
- Refund method: Approved refunds are processed through Paddle and returned to the original payment method when possible.
- How to request a refund: Email us at privacy@brnsft.com (or your billing support email) and include the email used at checkout, purchase date, and (if available) your Paddle receipt or transaction reference.
- EU consumer rights: If you are a consumer in the European Union, you may have statutory rights that apply in addition to this policy. Nothing in this policy limits those mandatory rights.
We reserve the right to refuse refund requests that show abuse of the refund policy (for example repeated refunds across multiple accounts), to the maximum extent permitted by law.
8.6 Chargebacks and Payment Disputes
If you initiate a chargeback or payment dispute, we may suspend access to paid features while the dispute is resolved. We may require you to contact Paddle support to resolve billing issues.
9. Third Party Services
The Services may rely on third party services (for example hosting, analytics, email support, and payment processing via Paddle). Third party services are governed by their own terms and policies. Brainsoft is not responsible for third party services outside our control.
10. Intellectual Property Rights
10.1 Ownership
All Services, including software, designs, graphics, text, documentation, logos, and content are owned by Brainsoft or its licensors and are protected by Finnish and international intellectual property laws.
10.2 Trademarks
"Ikuna" and related logos are trademarks of Brainsoft. You may not use them without prior written permission.
11. Updates and Modifications
11.1 Service Updates
We may release updates, patches, or new versions. Features may change over time and some features may be added, modified, or removed.
11.2 Terms Updates
We may modify these Terms at any time by updating the "Last Updated" date. If changes are material, we may provide additional notice (for example on the Site or in the App). Continued use after changes means you accept the updated Terms.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, error free, or that results will be accurate or reliable.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAINSOFT OY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAINSOFT OY’S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID TO BRAINSOFT OY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Brainsoft, its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of third party rights
- Content you submit or transmit through the Services (if any)
15. Termination
15.1 By You
You may stop using the Services at any time. You may uninstall the App and you may close your account if that option is available.
15.2 By Us
We may suspend or terminate your access to the Services if we reasonably believe you violated these Terms, used the Services unlawfully, or created risk or harm.
15.3 Effect of Termination
Upon termination, your license ends and you must stop using the Services. Account related data may be deleted subject to our retention obligations. Payment records may be retained as required by law.
16. Governing Law and Disputes
These Terms are governed by the laws of Finland, without regard to conflict of law rules. Disputes will be subject to the exclusive jurisdiction of the courts of Finland, except where mandatory consumer protection laws provide otherwise.
If you are a consumer in the European Union, you may have rights that cannot be waived.
17. Accessibility
We aim to make the Services accessible. If you encounter accessibility issues, contact us using the information below.
18. Export Compliance
You agree to comply with applicable export and import control laws and regulations in your use of the Services.
19. Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
20. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Brainsoft regarding the Services and supersede prior agreements on the same subject.
21. No Waiver
Failure to enforce any right is not a waiver of that right.

23. Language
These Terms are provided in English. If translated, the English version controls in case of conflict.
